Welcome to Regeneer. Please read these Terms of Service ("Terms") carefully before using our website (regeneer.app) and the AI-powered content automation services provided by AS.Com, a French Société par Actions Simplifiée Unipersonnelle (SASU) with a share capital of 1 €, registered with the Trade and Companies Register (Registre du Commerce et des Sociétés) of Nanterre under number 879 974 491, having its registered office located at 49 Rue Hoche, 92240 Malakoff, France (VAT Registration Number: FR03 879 974 491), doing business as Regeneer ("Service", "we", "us", "our").

By accessing or using the Service, creating an account, or purchasing a subscription, you ("User", "Client", "you") agree to be bound by these Terms. If you do not agree to all of these Terms, you are strictly prohibited from using the Service.

1. Eligibility & B2B Character of the Service

  • Strictly B2B: Regeneer is a Business-to-Business (B2B) platform. The Service is exclusively intended for professionals, companies, corporate entities, and independent content creators acting in a professional capacity.

  • No Consumer Rights: By subscribing, you explicitly acknowledge and warrant that you are purchasing the Service for professional, commercial, or business use. Consequently, consumer protection laws, including any statutory right of withdrawal or "cooling-off" periods (such as the EU 14-day consumer withdrawal right), do not apply to these Terms.

  • Age Requirement: You must be at least 18 years old, or the legal age of majority in your jurisdiction, to create an account or purchase a subscription. Minors are strictly prohibited from using the Service.

2. Accounts & Security

To access our Service, you must register and maintain an active account. You agree to provide accurate, current, and complete information during registration. You are solely responsible for safeguarding your account credentials (password, API keys) and for any activity occurring under your account. You must notify us immediately at hello@regeneer.app of any unauthorized breach of security or use of your account.

3. Subscription Plans & Credit Mechanics

Regeneer operates on a subscription basis, which grants you a specific allowance of credits per billing cycle.

3.1. Subscription Tiers & Custom Agency Plans

  • Solo Plan: Fixed allowance of 20 credits per billing cycle.

  • Scaleup Plan: Fixed allowance of 50 credits per billing cycle.

  • Agency / Custom Plans: For high-volume clients, corporate entities, or specific automation needs, Regeneer offers tailored custom plans. The pricing, credit allowances, specific service-level agreements (SLAs), and custom parameters of these plans are governed by a separate, dedicated commercial agreement executed between AS.Com and the Client. In the event of any contradiction between the custom commercial agreement and these Terms, the provisions of the custom agreement shall prevail.

3.2. Credit Consumption & Mandatory Workflow

Our Service uses a strict two-step validation workflow to prevent accidental credit consumption:

  • Step 1 (Mandatory Content Brief): 1 credit is consumed to extract raw insights from a target video and generate 3 unique angles/briefs. This step is mandatory before an article can be written.

  • Step 2 (Full Article Generation): 3 credits are consumed to transform one approved brief into a complete, SEO & GEO-optimized article.

  • Total Cost: A complete cycle from a new video to a finished article costs exactly 4 credits (1 brief + 3 credits for the article).

3.3. Credit Expiration

Unused credits do not roll over to the subsequent billing cycle. All unconsumed credits expire automatically at the end of each billing period (monthly or annually) and are reset upon renewal. No credit, refund, or compensation will be issued for expired credits.

4. Billing, Financial Terms & Cancellation Policy

4.1. Automatic Renewal

All subscriptions (monthly and annual) are billed in advance and will automatically renew for successive periods equal to the initial term, unless you cancel your subscription before the next billing date.

4.2. Strict No-Refund Policy

All financial transactions and payments made to Regeneer are 100% non-refundable. We do not offer refunds, credits, or prorated adjustments for partial usage, unused credits, or early cancellations.

4.3. Downgrade and Cancellation Policy (Commitment Lock)

You may request a downgrade of your subscription plan or cancel your subscription at any time directly through your user dashboard.

  • Monthly Subscriptions: The downgrade or cancellation will take effect at the end of the current monthly billing period. You will retain access to your current tier until that date.

  • Annual Subscriptions: Annual plans are purchased in exchange for a significantly discounted rate based on a strict 12-month commitment. If you request a downgrade or cancellation during the year, no refund or prorated credit will be issued for the remaining months. Your current tier access and credit allowance will remain active until the end of the 12-month cycle, and the downgrade/cancellation will only take effect on the anniversary renewal date.

5. Intellectual Property Rights

5.1. Regeneer Ownership

Regeneer and its parent company AS.Com retain all rights, titles, and interests in and to the Service, including its software, algorithms, user interfaces, logos, designs, and branding. You are granted a limited, non-exclusive, non-transferable, revocable license to access the platform in accordance with these Terms.

5.2. Generated Content Ownership

You own 100% of the intellectual property rights of the unique content briefs and complete articles generated by the platform through your credit consumption. You are free to publish, modify, monetize, and distribute this output.

5.3. Input Content & Fair Use Responsibility

Regeneer acts strictly as an automated utility to process publicly available source material (e.g., public YouTube videos).

  • You warrant that you have the right to analyze the source material you input into the Service.

  • You acknowledge that Regeneer does not copy third-party content, but extracts raw data and structural concepts to synthesize a new, original article.

  • You are solely responsible for ensuring that your final published content complies with local copyright laws, fair use doctrines, and advertising regulations. Regeneer and AS.Com shall not be liable for any third-party intellectual property infringement claims arising from your use of the generated text.

6. Acceptable Use & Prohibited Conduct

You agree not to misuse the Service. Specifically, you shall not:

  • Use any automated systems, bots, or scrapers to extract data from regeneer.app without explicit written permission.

  • Attempt to reverse-engineer, decompile, or bypass any security features or credit restriction mechanics of the platform.

  • Use the platform to generate defamatory, illegal, hateful, or harmful content.

  • Share your professional account credentials with unauthorized third parties outside your business entity.

7. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Regeneer makes no warranties, express or implied, regarding the accuracy, reliability, or availability of the AI-generated content.

No Performance Guarantee: While Regeneer optimizes content for Search Engine Optimization (SEO) and Generative Engine Optimization (GEO), we explicitly do not guarantee any specific rankings, visibility, indexation, or traffic results on Google, Bing, ChatGPT, Perplexity, Claude, or any other current or future search engines or Large Language Models (LLMs).

8. Limitation of Liability

To the maximum extent permitted by applicable law, Regeneer, AS.Com, its directors, employees, or partners, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, search engine penalties, or algorithmic drops.

In no event shall our aggregate liability for all claims arising out of or relating to the use of the Service exceed the total amount actually paid by you to Regeneer during the three (3) months preceding the event giving rise to the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Regeneer, AS.Com, and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of these Terms; or (iii) any third-party claim that the content you generated or published violates any law or third-party intellectual property rights.

10. Governing Law & Dispute Resolution

These Terms and your relationship with Regeneer shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, their validity, or their execution shall be subject to the exclusive jurisdiction of the competent courts located in Nanterre, France.

11. Website Hosting & Infrastructure (Legal Notice)

In accordance with French law (Loi LCEN n° 2004-575), the infrastructure of regeneer.app is deployed and hosted as follows:

  • Marketing Website: Hosted by Framer Inc. (located at 1011 Walnut St, Boulder, CO 80302, USA) and accelerated/secured globally via Cloudflare Inc. (located at 101 Townsend St, San Francisco, CA 94107, USA).

  • Web Application Infrastructure: Managed internally via Coolify and hosted on Virtual Private Servers (VPS) provided by Hostinger International Ltd. (having its registered office at 61 Lordou Vironos Street, 6023 Larnaca, Cyprus).

12. Severability & Modifications

  • Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

  • Modifications: We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 15 days' notice (via email or dashboard announcement) before the new terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
